Notice: This Service Addendum supplements and operates under the Akshari Solutions General Terms & Conditions. In the event of a conflict between this Addendum and the General Terms, this Addendum governs for Website Design & Development services.
Service: The website design, layout, development, and standard server-side configuration offerings provided by Akshari Solutions.
Customer / Client: Any individual or legal entity engaging Akshari Solutions for website creation or related services.
Website: The digital asset, pages, layout, and visual components developed by Akshari Solutions for the Customer.
Content: All text, licensed images, graphics, audio, video files, and branding materials supplied by the Customer or created as part of the Service.
Additional / Custom Services: Any custom modules, dynamic database applications, bespoke backend functional requirements, or optional add-ons not explicitly defined in the initial standard project scope.
Overview: These Terms and Conditions ("Terms") govern all general website design and development engagements with Akshari Solutions. By approving a project proposal, issuing a deposit, or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in full.
Core Development & Technologies: Akshari Solutions builds websites utilizing modern web tools and frameworks including PHP, Laravel, and WordPress.
Design & Mobile Responsiveness: All websites are tailored to reflect the Customer's brand identity and are optimized for standard desktop, tablet, and mobile devices.
Content & Media Compliance: Professional content creation or integration is provided as defined in your individual project scope. All stock media provided directly by Akshari Solutions utilizes legal, Licensed Images. Unregistered or unverified web images (e.g., direct web searches) will not be used to ensure total copyright compliance.
Exclusions: Domain name registration, third-party software/plugin licensing fees, and graphic design beyond standard page layouts (such as brand logo creation) are not included unless expressly stated in writing.
AI-Assisted Content & Assets: Akshari Solutions may utilize industry-standard Artificial Intelligence (AI) platforms and tools to assist in generating, elaborating, drafting, or editing text content, as well as creating, enhancing, or editing visual elements and images for the Website.
Quality Assurance & Review: All AI-assisted copy and visual assets undergo professional human review, curation, and editing by the Akshari Solutions team prior to client delivery or website publishing to maintain quality, brand consistency, and alignment with project goals.
Server-Side Backend Implementation: Akshari Solutions provides server-side backend setups necessary to render and deliver functional website pages (including standard CMS administration setups where applicable). We do not build, deliver, or expose custom, standalone backend software architectures under standard web packages.
Restricted Access Policy: To preserve system security, protect proprietary development framework files, and ensure server integrity, Akshari Solutions does not provide root access, direct source code file transfer, or underlying backend system access to the Customer or third parties.
Custom Development Requests: If the Customer requires custom backend features, database integrations, API endpoints, or specialized administrative access, such requirements fall outside the standard Service and will incur additional charges under a separate customization agreement.
Standard Scope Limitations: Standard engagements include the agreed-upon page count, visual layout, and standard features outlined in your initial proposal.
Customization Process: Any request for dynamic interactive tools, extra pages, custom e-commerce features, or bespoke functions beyond the initial agreement must be submitted in writing.
Formal Written Approval: Akshari Solutions will issue a detailed cost estimate and timeline for any extra work. No customization work will commence until both parties agree in writing to the additional scope and fees.
Proprietary Code and Frameworks: The underlying system code, scripts, custom plugins, and framework configurations remain the exclusive property of Akshari Solutions. The Customer is granted a non-exclusive, non-transferable license to use the website interface while maintaining an active account with Akshari Solutions.
Mandatory Copyright Notice: Akshari Solutions includes a standard credit line on all developed websites. The Customer agrees that the website footer will permanently display the following copyright and attribution text unless an explicit white-label waiver is agreed upon in writing: © Copyright 2026, All Rights Reserved by Akshari Solutions
Customer Content Rights: Text, graphics, and brand media provided directly by the Customer remain the intellectual property of the Customer or their respective rights holders.
Billing Structure: Project fees, deposit amounts, and payment milestones are set forth in the specific project estimate or statement of work.
Milestones & Deliverables: Payments must be made according to the agreed milestone schedule. Akshari Solutions reserves the right to pause design or development work if invoice payments are delayed.
Refund Policy: Due to the custom labor and resources involved in website production, all fees and deposits paid to Akshari Solutions are non-refundable.
Timely Content & Assets: The Customer agrees to provide all necessary logos, copy, images, and brand guidelines in a timely manner. Delays in providing materials will result in corresponding adjustments to the launch timeline.
Legal Content Ownership: The Customer warrants that all materials, media, and text supplied to Akshari Solutions are fully owned or properly licensed by the Customer, freeing Akshari Solutions from any third-party copyright claims.
Final Review and Sign-Off: The Customer will have designated review periods during the design phase. Written final approval is required prior to taking the website live.
Warranty Period: Minor bug fixes and technical glitches reported within a reasonable post-launch period (as specified in your proposal) will be resolved at no additional charge.
Ongoing Maintenance: Continued updates, core platform maintenance (e.g., WordPress, PHP, or Laravel framework updates), and post-launch feature additions are available under separate ongoing maintenance plans.
Termination for Convenience: Either party may terminate an ongoing project by providing formal written notice. Upon notice, the Customer shall remain responsible for payment for all completed work, hours logged, and unrecoverable expenses up to the date of cancellation.
Termination for Cause: Akshari Solutions reserves the right to immediately terminate or suspend Services without penalty if the Customer breaches these Terms, fails to pay invoices, or engages in unlawful behavior.
Loss of License: Upon termination, any usage licenses for unbilled work or proprietary setups cease immediately.
Service Provision: All website design and development services are provided on an "as-is" basis. Akshari Solutions does not guarantee uninterrupted, completely error-free operation or specific third-party search engine rankings.
Liability Cap: To the maximum extent permitted by applicable law, Akshari Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, business interruption, or data loss arising from website performance or third-party hosting outages.
Akshari Solutions reserves the right to modify or update these Terms at any time. Clients will be notified of material updates, and continued engagement or use of our Services indicates acceptance of the amended Terms.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this agreement shall first be attempted through amicable written negotiation, and if necessary, referred to binding arbitration in Toronto, Ontario.
